Terms of Service

1. Acceptance of Terms

By accessing or using the Shop.Toscroll platform (“Service”) operated by ToScroll Technologies Private Limited (“Toscroll”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms govern the use of the platform by merchants (store owners and their staff) and by end customers who purchase through stores built on the platform. Additional terms may apply to specific features.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts under applicable Indian law to use the Service as a merchant. By registering, you represent that you meet these requirements and that all information you provide is accurate and complete.

3. Account Registration and Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at info@toscroll.com if you suspect unauthorised access to your account.
• You are responsible for all activity that occurs under your account.
• One account per merchant business entity; creating multiple accounts to circumvent limits is prohibited.

4. Permitted Use and Prohibited Activities

You may use the Service to create and operate an online storefront for legitimate commercial purposes. You must not:

• Sell counterfeit, prohibited, or illegal goods or services.
• Use the platform for fraudulent transactions or money laundering.
• Violate any applicable law, regulation, or third-party rights.
• Attempt to gain unauthorised access to other accounts, systems, or networks.
• Reverse-engineer, decompile, or otherwise misappropriate the platform's intellectual property.
• Upload malicious code, spam, or any content that disrupts the Service.
• Misrepresent your identity, products, pricing, or affiliation.

Toscroll reserves the right to suspend or terminate accounts that violate these conditions, without prior notice.

5. Merchant Obligations

• You are solely responsible for the products and services you sell, including quality, legality, and fulfilment.
• You must maintain accurate product descriptions, pricing, and stock levels.
• You must comply with all applicable laws including the Consumer Protection Act, 2019, GST laws, and DPDP Act, 2023.
• You must honour your own return, refund, and cancellation policies as disclosed to customers.
• You are responsible for obtaining all necessary licences, permits, and approvals to sell your products.

6. Fees and Payments

Subscription fees are charged as per the plan you select. Fees are non-refundable except as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Payment processing fees charged by payment gateways are separate from our subscription fees and are governed by the respective provider's terms.

7. Intellectual Property

The Shop.Toscroll platform, including its software, design, trademarks, and content, is owned by ToScroll Technologies Private Limited and protected by applicable intellectual property laws. You retain ownership of content you upload (product images, descriptions, brand assets). By uploading content, you grant us a limited licence to display and deliver it through the Service.

8. Service Availability

We aim to provide a highly available platform but do not guarantee uninterrupted access. Scheduled maintenance, security updates, or unforeseen outages may temporarily affect the Service. We are not liable for losses arising from unavailability.

9. Limitation of Liability

To the maximum extent permitted by law, Toscroll's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Toscroll, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, your content, your products, or your violation of these Terms.

11. Termination

Either party may terminate the agreement with 30 days' written notice. We may terminate immediately for material breach, including violations of Section 4 (Prohibited Activities). Upon termination, your access to the platform ceases. We will retain your data for 30 days to allow export, after which it may be deleted.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India. We encourage informal resolution before initiating legal proceedings — please contact us at info@toscroll.com.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes via email or a notice on the platform. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
